These Terms of Use govern your access to and use of the services, website, and any related platforms operated by Partrix (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
1. Acceptance of Terms
By creating an account, submitting an enquiry, or otherwise engaging with the Service, you confirm that you are at least 18 years of age, have read and understood these Terms, and have the legal capacity to enter into a binding agreement. If you are acting on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
2. Description of Service
Partrix provides end-to-end creation services for browser-based social casino games. This includes but is not limited to concept development, technical implementation, design, social casino mechanics integration, and market launch support. The Service is delivered on a project and consultancy basis as agreed between the parties in a separate service agreement or statement of work.
The Service does not involve real-money gambling, wagering, or the operation of any licensed gambling platform. All deliverables are social gaming products intended for entertainment purposes only.
3. Eligibility
You must be of legal age in your jurisdiction to enter into contracts and to use the Service. Partrix reserves the right to refuse service to any person or entity at its sole discretion. By using the Service, you represent and warrant that all information you provide is accurate, current, and complete.
4. User Accounts
4.1 Registration
Certain features of the Service may require you to register for an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify Partrix immediately at help@partrix.online of any unauthorised use of your account.
4.2 Account Accuracy
You agree to provide accurate and complete information during registration and to keep your account information updated. Partrix shall not be liable for any loss arising from your failure to maintain the security of your account.
4.3 Termination of Account
Partrix reserves the right to suspend or terminate your account at any time, with or without notice, if you breach these Terms or if Partrix determines, in its sole discretion, that suspension or termination is appropriate.
5. Acceptable Use
You agree to use the Service only for lawful purposes and in a manner that does not infringe the rights of others. You must not:
- Use the Service for any unlawful, fraudulent, or deceptive purpose
- Transmit any content that is defamatory, obscene, harassing, or otherwise objectionable
- Attempt to gain unauthorised access to any part of the Service or its related systems
- Introduce malware, viruses, or any other harmful code
- Reverse engineer, decompile, or disassemble any part of the Service
- Use automated tools, scrapers, or bots to access the Service without prior written permission
- Resell, sublicence, or otherwise commercially exploit access to the Service without authorisation
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
- Violate any applicable law or regulation in connection with your use of the Service
6. Intellectual Property
6.1 Partrix Owned Content
All content, branding, materials, methodologies, code, documentation, and other assets created by or belonging to Partrix prior to any engagement remain the exclusive property of Partrix. Nothing in these Terms transfers ownership of such assets to you.
6.2 Deliverables
Ownership of deliverables produced specifically for you under a project engagement is governed by the terms of your individual service agreement. Unless explicitly stated otherwise in writing, Partrix retains all intellectual property rights until full payment is received.
6.3 Your Content
You retain ownership of any content, assets, or materials you provide to Partrix for use in your project. By submitting such content, you grant Partrix a non-exclusive, royalty-free licence to use, reproduce, and modify that content solely for the purpose of delivering the Service to you.
6.4 Restrictions
You must not reproduce, distribute, publicly display, or create derivative works based on any Partrix proprietary content without prior written consent.
7. Payment and Fees
Where the Service involves a paid engagement, fees, payment schedules, and refund conditions are set out in your individual service agreement or proposal. Unless otherwise agreed in writing:
- All fees are due in accordance with the payment schedule specified in the relevant agreement
- Fees are non-refundable once work on a project phase has commenced, unless otherwise stated
- Partrix reserves the right to suspend delivery of services where payment obligations are not met
- You are responsible for any applicable taxes, duties, or levies associated with your purchase
8. Confidentiality
Each party may receive confidential information from the other in connection with the Service. Both parties agree to keep such information confidential and not to disclose it to any third party without prior written consent, except as required by law. This obligation survives termination of any engagement or these Terms.
9. Privacy
Your use of the Service is subject to Partrix's Privacy Policy, which is incorporated into these Terms by reference. 10. Third-Party Services and Links
The Service may contain links to or integrations with third-party websites, tools, or services. Partrix does not endorse and is not responsible for the content, privacy practices, or terms of any third-party service. Your use of third-party services is at your own risk and subject to those parties' terms and conditions.
11. Disclaimers
The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. To the fullest extent permitted by applicable law, Partrix disclaims all warranties, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- Any warranty that the Service will be uninterrupted, error-free, or free of harmful components
- Any warranty regarding the accuracy, completeness, or reliability of any content or information provided through the Service
Partrix does not guarantee any specific outcome, commercial result, or market performance from any deliverable or service provided.
12. Limitation of Liability
To the maximum extent permitted by applicable law, Partrix and its directors, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption, arising from or related to your use of or inability to use the Service.
In no event shall Partrix's total aggregate liability to you for any claims arising from or related to the Service exceed the total amount paid by you to Partrix in the three months immediately preceding the event giving rise to the claim, or one hundred pounds sterling (£100), whichever is greater.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such cases, the exclusions and limitations in this section apply to the fullest extent permitted by law.
13. Indemnification
You agree to indemnify, defend, and hold harmless Partrix and its officers, directors, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:
- Your use of or access to the Service
- Your breach of these Terms
- Any content or materials you submit to Partrix
- Your violation of any applicable law or third-party right
14. Modifications to the Service
Partrix reserves the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. Partrix shall not be liable to you or any third party for any such modification, suspension, or discontinuation.
15. Amendments to These Terms
Partrix may update these Terms from time to time. When changes are made, the "Last updated" date at the top of this page will be revised. Continued use of the Service after any such changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically. Material changes will be communicated where reasonably practicable.
16. Termination
Either party may terminate their engagement with the Service in accordance with the terms of any applicable service agreement. Partrix may immediately suspend or terminate your access to the Service if you breach these Terms. Upon termination, all licences granted to you under these Terms shall cease immediately. Provisions that by their nature should survive termination shall do so, including but not limited to intellectual property, confidentiality, disclaimers, and limitation of liability clauses.
17. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising from or in connection with these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties. If a dispute cannot be resolved informally within thirty days, it shall be submitted to the appropriate dispute resolution process under the laws of the applicable jurisdiction.
18. Severability
If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.
19. Entire Agreement
These Terms, together with any applicable service agreement, statement of work, or proposal, constitute the entire agreement between you and Partrix concerning the Service and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, relating to its subject matter.
20. Waiver
Partrix's failure to enforce any provision of these Terms shall not constitute a waiver of its right to enforce that provision in the future. No waiver of any breach shall be deemed a continuing waiver or a waiver of any subsequent breach.
